END-USER LICENSE AGREEMENT (EULA)

PaletteVision inspires creativity by combining color analysis with social networking. This easy-to-use app lets users take photos or use their device camera to instantly see and analyze color palettes. Users can then share their colorful photos and color details with a community of creative individuals. The iOS app includes real-time color analysis/palette extraction, and features to meet different visual needs.

1. ACCEPTANCE OF TERMS

By downloading, installing, or using PaletteVision ("the App"), you agree to be bound by this End User License Agreement ("EULA"). If you do not agree to these terms, do not use the App.

2. LICENSE GRANT

PaletteVision grants you a limited, non-exclusive, non-transferable, revocable license to use the App on Apple iOS devices you own or control, subject to this EULA and the App Store Terms of Service.

3. RESTRICTIONS

You may not:

  1. Modify, reverse engineer, decompile, or disassemble the App
  2. Rent, lease, lend, sell, redistribute, or sublicense the App
  3. Copy, distribute, or create derivative works of the App
  4. Remove any proprietary notices or labels on the App

4. PRIVACY AND DATA USE

Your use of the App is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal information.

5. USER-GENERATED CONTENT

You retain ownership of any content you create or upload to the App. By submitting content, you grant PaletteVision a worldwide, royalty-free license to use, reproduce, modify, and distribute that content for the purpose of operating and improving the App.

To ensure a safe environment, PaletteVision implements the following precautions for user-generated content:

  1. Agreement to Terms: All users must agree to this EULA before using the App. The EULA clearly states that there is no tolerance for objectionable content or abusive behavior.
  2. Content Filtering: PaletteVision employs methods to filter objectionable content. Automated tools and manual reviews are used to detect and manage inappropriate content.
  3. Content Flagging: Users have the ability to flag content they find objectionable. Flagged content is reviewed promptly for further action.
  4. Blocking Abusive Users: Users can block others who engage in abusive behavior. Blocked users will be unable to interact with the blocker.
  5. Timely Action: PaletteVision commits to acting on reports of objectionable content within 24 hours. This includes removing the content and ejecting the user responsible if necessary.

6. INTELLECTUAL PROPERTY

The App, including all content, features, and functionality, is owned by PaletteVision and is protected by international copyright and other intellectual property laws.

7. DISCLAIMER OF WARRANTIES

The App is provided "as is" without any warranties, express or implied. PaletteVision does not warrant that the App will be error-free or uninterrupted.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law, PaletteVision shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App.

9. TERMINATION

PaletteVision may terminate or suspend your access to the App immediately, without prior notice or liability, if you breach any term of this EULA. Upon termination, your right to use the App will immediately cease.

10. CHANGES TO THE APP AND EULA

We reserve the right to modify or discontinue the App at any time. We may also revise this EULA at any time. By continuing to use the App after such changes, you agree to be bound by the revised EULA.

11. GOVERNING LAW

This EULA is governed by the laws of Canada, without regard to its conflict of law provisions.

12. AGREEMENT TO LOCAL TERMS

By using PaletteVision, you agree to comply with all applicable local, state, national, and international laws and regulations.

13. DISPUTE RESOLUTION

Any disputes arising out of or related to this EULA or the App shall be resolved through binding arbitration in accordance with the rules of the Canadian Arbitration Association.

14. SEVERABILITY

If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.

15. ENTIRE AGREEMENT

This EULA constitutes the entire agreement between you and PaletteVision regarding the use of the App and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this EULA.
